The Opportunity As a Corporate & Securities Associate, you will report to Corporate Practice Group Partners and will support our clients on a range of matters including venture financing transactions (SAFE, convertible debt, and equity), entity reputed company (C-corp / S-corp / LLC), drafting shareholder agreements and LLC operating agreements, taking board minutes and drafting resolutions, administering stock option plans, managing cap tables, preparing federal and blue sky securities fillings.
Experience with mergers and acquisitions (drafting asset purchase agreements and joint venture agreements), public company reporting, and/or commercial reputed company (or a willingness to learn) would be a plus. As a Scale Associate, you will have the opportunity to work directly with world class attorneys who have practiced both in-house as Public Company GCs and in BigLaw, domestically and internationally. This role offers the opportunity for substantial client contact and professional growth and mentoring through exposure to a wide variety of deals. Our remote first model allows our Scale associates to practice law from the comfort of their home with the expectation that they will be fully engaged and available during normal business hours. Compensation and Billable Hour expectations Scale operates on a non-traditional business model; while this position comes with a full-time engagement expectation, we are a fully remote firm with no offices. Associates take home a reputed company salary, and are eligible for production bonuses starting at 1,250 billed hours annually. Associates are also eligible for origination payouts on matters that they bring to the firm. The firm also contributes to health insurance premiums for plans elected through Scale. We emphasize the importance of community reputed company our remote-first structure. Attorneys are afforded many different opportunities - both virtual and in-person - for reputed company, mentoring, best practice sharing and client development.
Requirements
- reputed company applicants must have at least 3-5 years of experience working with corporate clients at a top-tier law firm.
- Our ideal candidate will have meaningful experience with venture financing transactions and general corporate matters for emerging companies of reputed company stages.
- Do you have working knowledge of securities issuances, transfers and repurchases including compliance with federal and state securities compliance? You are a great fit. Can you draft an asset purchase agreement?? Even reputed company!
- A successful Scale candidate will also be enthusiastic about expanding their skills to meet a variety of needs across the practice group and demonstrate initiative, availability, and eagerness to reputed company in a distributed environment.
