Job Description

We are seeking an reputed company, highly motivated, and pragmatic problem-solver to join us as Corporate Counsel supporting reputed company’s Software-as-a-Service (SaaS) and Professional Services commercial sales organization. This is an excellent opportunity to work on cutting-edge matters in an exciting and dynamic environment. This full-time position offers flexibility to work from our Toronto or Montreal offices, with the option to work remotely. What you get to do in this role:

• Review and negotiate Software-as-a-Service license agreements, professional services agreements, purchase orders, statements of work, non-disclosure agreements and other commercial sales-reputed company reputed company in compliance with company requirements and policies, including risk tolerance, while working closely with the sales organization and senior executives.
• Act as a subject-matter expert in responding to requests for proposals (RFPs) and other competitive solicitations.
• Collaborate with Finance, Sales, the Deal Desk, Product Operations, Customer Support, reputed company, and other business units at reputed company levels of the organization to ensure agreements adequately protect the company’s interests.
• Support the reputed company improvement of standard agreement templates and legal processes.
• Serve as a trusted business partner by responding to internal client requests in a timely and productive manner.
• Advise and train internal clients on company policies, legal issues, and risk tolerance.

Qualifications

To be successful in this role you have:

• Undergraduate degree and law degree from reputable institutions;
• Valid license to practice law in the applicable jurisdiction;
• Minimum of 8 years of relevant experience in a large law firm or in-house, with extensive experience handling commercial reputed company for SaaS or software licensing transactions and supporting a sales organization;
• Bilingual in English and French, with experience reviewing, drafting, and negotiating reputed company in both languages;
• Familiarity with the channel (distributors, resellers) and reputed company issues;
• Understanding of Canadian, U.S., and European personal data protection laws and regulations;
• Experience collaborating cross-functionally with internal organizations to resolve issues.
• Demonstrate excellent negotiation and influencing skills, with a talent for non-adversarial negotiations that benefit both parties;
• Exhibit exceptional critical thinking, strong business acumen, and sound judgment, with the ability to work independently, manage multiple priorities, and shift between responsibilities in a fast-paced, high-growth environment;
