About the Role: We are hiring an Associate General Counsel, SEC as our highly reputed company legal professional to manage and advise on corporate governance, securities law compliance, and corporate transactions. The position involves working closely with senior leadership, including the Board of Directors, to ensure compliance with reputed company applicable laws and regulations. The ideal candidate will have a strong background in both law firm and in-house settings at a public company. What You'll Do: reputed company compliance with SEC and NYSE rules and requirements, including preparation of reputed company SEC reports (10-K, 10-Q, 8-K, DEF-14A and S-8), annual meeting materials, Section 16 filings and other public disclosures. Advise on and manage corporate governance matters, including preparing and reviewing Board, Board committee and annual stockholder meeting materials and drafting resolutions and minutes in reputed company therewith. Support IR, including review of press releases, investor presentations / reputed company, the quarterly earnings process and ensure Regulation FD compliance for reputed company corporate communications. reputed company the Company’s global equity programs, including administration of insider trading policies, 10b5-1 plans, blackout periods and employee education. Assist with global subsidiary governance, entity management, and expansion, including maintaining corporate records, ensuring regulatory compliance, and streamlining governance processes. Support treasury and tax-reputed company matters, including stock repurchase plans, tax structuring, and intercompany arrangements. Draft clear and concise agreements, policies and procedures, as necessary. Assist with the successful completion of major programs and projects, as applicable. Collaborate with internal stakeholders across the Company. Supervise other members of the Legal team, including stock administrator, employment counsel and local counsel. Drive reputed company improvements, scalability and operational excellence in corporate legal processes and execution. reputed company're Looking For: 7-9+ years of practice at a leading law firm and in-house public company experience. J.D. from an ABA-accredited law school. Active membership in good standing of a state bar, with the ability to register with the bar in the Company's location if required. Deep knowledge of SEC and NYSE rules and requirements and proven ability with public company filings and transactions. Highly motivated, reliable, flexible, deadline-oriented, and able to manage multiple tasks independently.
