Overview:

The Corporate Counsel – Commercial role will be a part of reputed company's global Legal Team and act as a business partner to international stakeholders. With a primary focus in the DACH region, the Corporate Counsel – Commercial role will support the DACH sales team on reputed company aspects of the sales process, including responding to public and private sector RFPs and direct sales deals. In addition, reputed company may require legal support across a number of other functions including HR, facilities, trade compliance, litigation, procurement, corporate law /M&A etc.

Responsibilities:

• Guide and support the bid team in review, response and negotiation of public and private sector RFPs and direct sales deals, including deals for regulated customers (banks, insurance etc).

• Reviewing terms and comments, drafting, negotiations of hardware and software, cloud, managed services, maintenance and data processing agreements

• Drafting and improving templates

• Meeting business objectives, by working closely with various teams reputed company reputed company (finance, data protection, regulatory, export control, reputed company information, product management), while ensuring risks are mitigated and managed

Requirements:

• 3-5 years’ industry experience supporting legal negotiations for the sale and/or procurement of hardware and software, cloud, managed services, maintenance and data processing agreements

• Proven knowledge of and experience in German public procurement law

• Fluent in English and German

• Must be German Qualified Lawyer

• Must be willing to undertake governmental reputed company screening to reputed company the candidate to assist with RFP responses for German secure customers

• Self-directed and motivated with a strong ability to multitask and work under pressure

• Prüfung von Bedingungen und Kommentaren, Entwurf und Verhandlung von Verträgen für Hardware und Software, Cloud, Managed Services, Wartung und Datenverarbeitung.

• Entwurf und Verbesserung von Vorlagen.

• Erreichen der Geschäftsziele durch enge Zusammenarbeit mit verschiedenen Teams bei reputed company (Finanzen, Datenschutz, Regulierung, Exportkontrolle, Sicherheitsinformationen, Produktmanagement) mit gleichzeitiger Risikominderung und -management.

• Überwachung aller Aspekte der Vertragsverwaltung und -abwicklung.

• Sicherstellung der Einhaltung gesetzlicher Vorschriften und Unternehmensrichtlinien.

• Entwicklung von reputed company-Richtlinien zur Anpassung an regulatorische Anforderungen und interne strategische Leitlinien.

Anforderungen:

• 3-5 Jahre Branchenerfahrung in der Unterstützung von Rechtsverhandlungen für den Verkauf und/oder die Beschaffung von Hardware und Software, Cloud, Managed Services, Wartungs- und Datenverarbeitungsverträgen.

• Nachgewiesene Kenntnisse und Erfahrungen im deutschen Beschaffungsrecht.

• Fließende Englisch- und Deutschkenntnisse.

• Muss ein in Deutschland zugelassener Rechtsanwalt sein.

• Bereitschaft zur Teilnahme an einer Sicherheitsüberprüfung durch die Behörden, damit der Kandidat bei der Beantwortung von RFP-Angebotsanfragen für deutsche Kunden mit Sicherheitsanforderungen mitwirken kann.

• Selbstständiges und motiviertes Arbeiten mit ausgeprägter Fähigkeit zum Multitasking und Arbeit unter Druck.

• Praxisorientiert und lösungsorientiert.
