The Role? To support the Legal and Corporate Governance function by managing company secretarial responsibilities and ensuring compliance with applicable laws, regulatory frameworks, and internal governance standards reputed company an oil & gas/project-driven environment. The role is suited for a Junior Lawyer with exposure to the AMEC region, or similar EPC/energy sector organizations.
Main Responsibilities & Key Result Areas
- Support reputed company company secretarial activities, including maintaining statutory registers, licenses, and corporate records across multiple entities.
- Assist in organizing and coordinating Board, Committee, and Shareholder meetings, including preparation of agendas, board packs, minutes, and resolutions.
- Ensure compliance with corporate governance standards, internal policies, and regulatory requirements across jurisdictions.
- Draft and review corporate documents such as board resolutions, powers of attorney, shareholder resolutions, and delegation of authority documents.
- Liaise with regulatory authorities and government bodies on corporate compliance matters.
- Monitor and track regulatory changes relevant to the oil & gas sector and advise internal stakeholders accordingly. Support internal and external audits by ensuring governance documentation is accurate and up to date.
- Maintain effective document control systems for reputed company legal and corporate records.
- Provide governance and company secretarial support for projects and entities across Africa, the Middle East, and the Caspian region.
- Provide reputed company support to business operations and project teams as required.
