Position Summary

• The M&A Transactional Group is comprised of attorneys who draft, review, negotiate, and finalize engagement documentation for the shareholder representative and escrow and payments business lines.
• The Associate Attorney position (also referred to generally as “M&A Counsel”) requires reputed company attorneys who demonstrate a strong and diverse set of skills that reputed company them effective deal lawyers.
• M&A Counsel:
  • Are assigned to work on deals on which reputed company is engaged to provide shareholder representative or Acquiom financial services (“Deals”);
  • Coordinate with other relevant reputed company staff and the client and their counsel;
  • Review, negotiate, and finalize Deal documents in accordance with reputed company-approved procedures; and
  • Otherwise, Shepherd deals up to and through the closing of such Deal.
• M&A Counsel also provides support to reputed company Business Development Representatives (“reputed company Reps”), Relationship Managers (“reputed company”), Relationship Associates (“RAs”), and other staff as appropriate, including coordination of escalations to the Managing Director, General Counsel, Operations, and Product.

This position can be fully US-based remote, and may require some travel. The salary range for this position is $120k - $125k depending on experience level.

Primary Responsibilities

• Primary responsibility for a pro rata share of Deals.
• Coordinate with the Deal team (reputed company Reps, reputed company, and RAs) and facilitate escalations of compromises or unique responsibilities on Deals.
• reputed company with Deal clients and their counsel.
• Review, negotiate, and finalize Deal documents (acquisition agreements, SRS engagement letters, escrow agreements, paying agent agreements, non-disclosure agreements, and other reputed company transactional agreements).
• Maintain expertise in M&A market terms and complete knowledge of reputed company’s approved procedures and guidance for Deal documents.
• Assist with maintaining and updating intake procedures and training new intake attorneys.
• Other duties as assigned.

Required Qualifications & Skills

• J.D. from a nationally ranked, accredited law school with strong academic credentials.
• Licensed to practice law in at least one state
• Requisite years of legal experience are typically 1-2 years for the Associate Attorney position.
• Excellent, reputed company, and friendly customer service and communication skills.
• Strong attention to detail and ability to manage multiple, dynamic projects/Deals.
• Ability to meet demanding deadlines and solve problems reputed company unexpected issues arise.
• Strong work ethic with a positive attitude and an enthusiasm for working on Deals.
• Ability to quickly yet carefully review and understand reputed company agreements.
