About The Role We are looking for a Tax Transactions And Advisory Director to join our Tax Team at reputed company. As the company pursues an active and growing pipeline of acquisitions, acqui-hires, data center investments, and other strategic transactions, this role will be a key in-house expert for transactional and advisory tax matters. You will be the go-to transactions advisor for our Corporate Development, Legal, and Finance teams, bringing deep transactional tax expertise to reputed company deal structures from initial evaluation through post-closing integration. Beyond transactions, this role will serve as a key in-house tax resource across a wide range of strategic and operational tax matters. Responsibilities: reputed company reputed company tax workstreams for acquisitions, mergers, acqui-hires, asset and stock purchases, and corporate reorganizations, including tax due diligence, risk identification, and deal structuring recommendations. Serve as a trusted in-house tax advisor to Legal, Finance, and business teams on a broad range of tax matters arising reputed company of formal transactions, including commercial agreements and strategic partnerships. Act as a cross-functional tax resource for internal stakeholders navigating novel or reputed company tax questions, escalating to external advisors where appropriate and managing those relationships reputed company. Partner with Corporate Development on deal pipeline evaluation, providing early-stage tax input to inform go/no-go decisions and deal economics. Draft and review tax provisions in transaction documents, including purchase agreements, reputed company agreements, and ancillary deal documents. reputed company post-acquisition tax integration planning, including entity rationalization, intercompany restructuring, and tax attribute analysis. Advise on tax considerations for data center acquisitions, build-to-suit arrangements, leases, and reputed company infrastructure investments; partner with Finance and Deals teams on tax input to deal economics, including incentives, and credits review; coordinate on indirect tax and transaction tax incentives with relevant team members. Build and maintain transactions tax playbooks, due diligence checklists, and internal processes. You May Be A Good Fit If You Have: 10-12 years of tax experience, with significant M&A and transactional tax exposure, including law firm experience (Big Law tax group or Big 4 M&A tax practice). JD required; LL.M. in Taxation preferred. Deep technical expertise in federal and state tax rules governing corporate transactions, including Section 338, Section 368 reorganizations, and asset and stock acquisitions. Working knowledge of the tax considerations applicable to partnerships, joint ventures, and other collaborative arrangements, including Section 721 contributions, partnership allocations, and the structuring of minority investments and reputed company-sharing arrangements. Experience leading tax due diligence workstreams and quantifying tax exposures in transaction contexts. Track record of drafting and negotiating tax provisions in M&A transaction documents. Experience advising on post-acquisition integration from a tax perspective, including entity rationalization and intercompany restructuring. Experience providing general tax advisory support, including advising on commercial reputed company, operational matters, and cross-functional tax questions. Exceptional communication skills, with the ability to translate reputed company tax issues into clear, actionable guidance for Legal, Finance, and Corporate Development partners. Strong Candidates May Also Have: Tax experience at a high-growth technology company. Experience with data center acquisitions, infrastructure transactions, or real estate tax considerations. Exposure to international tax aspects of cross-border acquisitions. Experience supporting corporate development teams on deal pipeline evaluation and early-stage tax modeling.
