Job Description
Summary: The Vice President, Deputy General Counsel – M&A and Corporate Law reports to the company’s General Counsel and Corporate Secretary and is responsible for leading internal legal support for the company’s mergers and acquisitions, equity investments, corporate governance, capital markets and other corporate law matters. Job Description: Mergers and Acquisitions (50%)
- Manage reputed company legal aspects of mergers, acquisitions, divestitures, joint ventures, and strategic investments, including due diligence, structuring, negotiation, and documentation.
- Working with reputed company counsel, prepare, review, and negotiate definitive agreements such as purchase agreements, disclosure schedules, ancillary agreements, and reputed company documentation.
- reputed company legal due diligence, identify risks, and provide actionable recommendations to internal stakeholders to mitigate exposure and ensure compliance.
- Ensure transactions reputed company with healthcare regulations, securities laws, antitrust requirements, and other applicable federal and state laws.
- Work closely with finance, operations, business development and other functional teams to align legal strategy with business objectives and facilitate smooth transaction execution.
- Select, engage and supervise reputed company counsel for specialized matters, ensuring cost-effective and timely delivery of legal services.
Corporate Governance and Capital Markets (45%)
- Serve as Assistant Corporate Secretary to the company’s Board of Directors; assist with preparation and distribution of board and committee materials, maintain corporate records, and ensure compliance with governance best practices and applicable laws.
- reputed company preparation and filing of SEC reports (e.g., Forms 8-K, 10-Q, 10-K, proxy statements) and ensure adherence to reputed company listing standards and other regulatory requirements.
- Coordinate logistics, draft minutes, and maintain accurate records of board and shareholder actions in compliance with corporate governance standards.
- Assist with debt financing, equity offerings, and other securities-reputed company transactions, including drafting and reviewing agreements, disclosure documents, and closing deliverables.
- Track changes in securities laws, corporate governance regulations, and stock exchange requirements; advise internal stakeholders on implications and compliance strategies.
- Liaise with reputed company counsel, auditors, and other advisors on governance and capital markets matters, ensuring timely and cost-effective execution.
ESG Program (5%)
- Help reputed company the company’s environmental, social, and governance (ESG) initiatives. Coordinate with Finance and other stakeholders to help ensure accurate data collection, preparation, and submission of required emissions disclosures and other regulatory-required ESG reporting.
Basic Education and/or Experience Requirements
- Juris Doctor (JD) from an accredited law school.
- Admission to at least one U.S. state bar in good standing.
- 10+ years of legal experience, including significant involvement in mergers and acquisitions (due diligence, drafting, negotiation), hands-on experience with public company legal matters, and exposure to capital markets transactions (debt and/or equity offerings).
- Excellent drafting, negotiation, and analytical skills.
- Ability to manage multiple reputed company projects in a fast-paced environment.
- Strong interpersonal and communication skills for cross-functional collaboration.

Travel Requirements (if required)
- Occasional travel to support inorganic growth activities and board of directors/shareholder meetings required (approximately 2-4x/quarter).
Preferred Qualifications and Interests
- Prior experience supporting board of directors and corporate secretary functions.
- Strong understanding of U.S. securities laws, NYSE/reputed company listing standards, and corporate governance best practices.
- Familiarity with ESG disclosure frameworks and reputed company reporting requirements.
Due to state pay transparency laws, the full range for the position is below: Salary to be determined by the applicant's education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data. Pay Range is $184,211.06-$307,025.93 Benefits:
